Terms of Service

These terms govern your use of RollCall Live (the "Service"), operated by Data On The Spot Inc. ("we", "us", "our"), a company registered in Ontario, Canada. By installing, accessing, or using the Service, the organization or individual doing so ("you", "Customer") agrees to these terms.
The service
RollCall Live provides a real-time attendance dashboard for Zoom meetings: roster upload and matching, participant classification (voter/observer/guest/unmatched), quorum visibility, and an attendance log for the meeting record. The Service is an operations console for the meeting administrator; it does not replace Zoom and does not join, record, or moderate meetings on its own.
Plans and fees
RollCall Live offers a Free plan and paid Live and Pro plans, distinguished primarily by participant count limits and feature access, as described on our pricing page. Paid plans are billed on a recurring basis through the payment method you provide at signup. Fees are quoted in USD unless stated otherwise and are exclusive of applicable taxes. You may cancel a paid plan at any time; cancellation takes effect at the end of the current billing period, and we do not provide partial-period refunds except where required by law.
Customer responsibilities
You are responsible for: uploading accurate roster data; obtaining any consents or permissions required to collect and process participant information under the laws applicable to your meeting; keeping your account credentials and board access codes confidential; and using the Service in compliance with applicable law and your organization's own governance rules. You must not use the Service to monitor meetings you do not have the right to monitor, or to collect information about participants beyond what is reasonably necessary for attendance and quorum purposes.
Acceptable use
You agree not to: reverse engineer or attempt to circumvent the Service's access controls; use the Service to violate any person's privacy or legal rights; resell or sublicense the Service without our written consent; or use the Service in a way that could disable, overburden, or impair it for other customers.
Availability
We aim to provide a reliable, continuously available service, but we do not guarantee uninterrupted or error-free operation. Live meeting workflows should include a manual fallback (for example, a downloaded roster) in case of a temporary outage. Planned maintenance and known incidents are posted on our status page.
Data and privacy
Our collection, use, and retention of data is governed by our Privacy Policy, which is incorporated into these terms by reference. You retain ownership of the roster and meeting data you upload; we process it solely to provide the Service to you.
Intellectual property
Data On The Spot Inc. retains all rights, title, and interest in the Service, including its software, design, and branding. These terms grant you a limited, non-exclusive, non-transferable right to use the Service for your own meetings during an active subscription; no other rights are granted.
Disclaimer and limitation of liability
The Service is provided "as is" without warranties of any kind, express or implied, including fitness for a particular purpose. To the maximum extent permitted by law, Data On The Spot Inc.'s total liability arising from your use of the Service is limited to the fees you paid us in the three months preceding the claim, and we are not liable for indirect, incidental, or consequential damages, including any consequence of a vote, quorum determination, or meeting decision made using the Service.
Termination
You may stop using the Service and uninstall it from your Zoom account at any time, which triggers deletion of your data as described in our Privacy Policy. We may suspend or terminate access for material breach of these terms, non-payment of fees, or conduct that risks harm to the Service or other customers.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
Changes
We may update these terms from time to time; we will post the revised terms on this page and update the date above. Continued use of the Service after a change constitutes acceptance of the updated terms.
