How to count quorum in a Zoom board meeting (with proxies)

Short answer: quorum on Zoom is counted the same way as in a room: eligible members present, plus anyone represented by a valid proxy or advance ballot where your bylaws allow it, compared against your threshold. The hard part on Zoom is knowing who is actually on the call and keeping the count current as people drop and rejoin. That is what RollCall Live does.

1. Decide who counts before the meeting

Pull your membership list and mark each person as eligible to vote or not. Directors, delegates and members in good standing usually count; staff, guests, advisors and observers usually do not. Check your bylaws and, for HOAs and nonprofits, your state or provincial statute: some allow proxies for member meetings but not for directors, some count returned ballots as present, some do not.

2. Record proxies and ballots before the call to order

Collect proxy forms and any advance ballots ahead of time and log them against the member they represent. In RollCall Live you mark a roster member as represented by proxy or as having submitted a ballot, and they are counted toward quorum without being on the call. Whether they should count is a rules question for the chair; the app reports the number.

3. Match the people on the call to the roster

Zoom shows display names, not membership. Upload your roster as a CSV to RollCall Live, tag people as Voters, Observers or Guests, and the board matches participants as they join. Unmatched names ("Bob's iPad") are listed for you to confirm or leave as guests. Only the organizer installs the app; members join Zoom as normal.

4. Read the count when the chair asks

The board shows eligible members counted as present, by proxy, or by ballot, against the quorum target you set. A "Before you call quorum" panel lists anything still unresolved, such as unmatched participants who might be members. RollCall uses headcount, not weighted ownership; each eligible member counts as one.

5. Freeze the roll when a vote is called

Quorum usually has to hold at the moment of the vote, not just at the opening roll call. When the chair calls a vote, freeze the roll. The frozen list records who was counted at that moment, so a member who drops off the call two minutes later does not change the record.

6. Keep the record

Download the attendance log and the meeting pack for the minutes. Include the quorum threshold, the count at call to order, and the count at each frozen vote. Records stay in RollCall for 30 days.

Common mistakes on Zoom

  • Counting everyone in the Participants panel, including guests and staff.
  • Counting a proxy for a director when the statute does not allow director proxies.
  • Establishing quorum at the start and never re-checking before the vote.
  • Relying on Zoom's post-meeting usage report to prove quorum at a specific time.
